1. Agreement and scope
These Terms of Use ("Terms") govern your access to and use of youtopia.social and any Youtopia website, mobile application, feature, or service that links to these Terms (collectively, the "Services"). In these Terms, "Youtopia," "we," "us," and "our" refer to Youtopia.social, the operator of the Services, based in Los Angeles, California. By creating an account, clicking to accept, or using the Services, you agree to these Terms and the policies they incorporate. If you do not agree, do not use the Services.
Some future offerings, including Cafe ordering, payments, promotions, or mobile-app features, may have supplemental terms. Those supplemental terms will control for that offering if they conflict with these Terms.
2. Eligibility, accounts, and security
You must be at least 16 years old and legally permitted to use the Services. If you are under the age of majority where you live, you may use the Services only with permission from a parent or legal guardian. The Services are not directed to children under 16, and you may not create an account for a child under 16. We may request reasonable age or guardian confirmation when necessary to protect members or comply with law.
Provide accurate account information, maintain only accounts you are authorized to use, and keep your credentials confidential. You are responsible for activity through your account unless you promptly notify us of unauthorized access. You may not sell, transfer, rent, or share access to an account, impersonate someone, or evade a prior suspension. We may require reasonable verification to protect an account or process a rights request.
3. What Youtopia is—and is not
Youtopia is a community platform intended to help people discover worthwhile Causes, coordinate concrete Actions, share progress, encourage one another, and make positive work more visible. The Services provide communication and organization tools; they do not guarantee that a member, Cause, organizer, claim, event, opportunity, or outcome is accurate, safe, lawful, or successful.
Youtopia is not an emergency service, charity evaluator, background-check provider, escrow service, medical or mental-health provider, law firm, financial adviser, or government agency. Do not rely on the Services for emergency assistance or professional advice. If anyone is in immediate danger, contact local emergency services.
4. Participate constructively
Youtopia exists for constructive action, positivity, and encouragement. Members may discuss difficult issues, disagree, criticize ideas or policies, and question how work is being carried out. Do so in good faith and address the idea, action, or evidence rather than attacking the person.
You may not use the Services to engage in, facilitate, or encourage:
- Harassment, bullying, threats, stalking, intimidation, targeted unwanted contact, personal attacks, insults, humiliation, or coordinated pile-ons.
- Hateful or discriminatory conduct directed at a person or protected group, or exploitation or sexual abuse of any person.
- Repeated discouraging, disruptive, or bad-faith behavior intended to derail, ridicule, silence, or undermine constructive participation.
- Fraud, impersonation, scams, spam, manipulated engagement, or materially deceptive claims presented as fact.
- Posting another person’s private, confidential, identifying, or sensitive information without authorization.
- Nonconsensual intimate imagery, including altered, generated, or deepfake content, or threats to create or distribute it.
- Content or conduct that is unlawful, infringes another person’s rights, promotes intentionally dangerous activity, or violates an applicable sanctions or export-control law.
- Malware, malicious code, security testing without written permission, interference with the Services, scraping or automated collection without permission, or attempts to access accounts or data you are not authorized to access.
- Using reports, blocks, moderation tools, or administrative permissions to retaliate, harass, suppress good-faith criticism, or make knowingly false reports.
5. Your content and the permission you give us
You retain ownership of content you create. You are responsible for it and represent that you have the rights and permissions needed to submit it and to identify or depict other people in it. Do not upload content that violates intellectual-property, privacy, publicity, confidentiality, contractual, or other rights.
When you submit content, you grant Youtopia a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt for technical or accessibility purposes, transmit, display, and distribute that content as needed to operate, secure, moderate, and improve the Services and to show it to the audience you selected. This license allows us to use service providers acting for us, but it does not give us ownership of your content. The license ends when the content is fully deleted from active systems, except to the extent the content was shared with others who retain it, remains in time-limited backups, or must be preserved for safety, fraud prevention, dispute resolution, or legal compliance.
Suggestions and product feedback may be used to improve Youtopia without compensation or an obligation to implement them. Do not submit confidential business information through the feedback channel.
6. Causes, Actions, roles, and real-world activity
Cause Creators, administrators, assigned role-holders, and members must describe their work honestly, use permissions only for their intended purpose, maintain appropriate safety practices, and follow applicable laws. Cause approval, a verification label, a role title, a progress indicator, or visibility on Youtopia is not an endorsement, warranty, certification, or background check by Youtopia.
You decide whether to meet, volunteer, donate, purchase, travel, or participate offline and assume the ordinary risks of your choices. Verify material claims, use safe meeting practices, obtain required permits and insurance, protect vulnerable people, and seek professional guidance where appropriate. Unless expressly stated, a Cause is not a tax-exempt organization and contributions are not represented as tax-deductible. Cause administrators may be responsible for their own records, permissions, taxes, fundraising rules, accessibility, and participant safety.
7. Cafe information and future transactions
Until ordering is expressly enabled, Cafe pages are informational and describe a concept in development. If Cafe ordering, member discounts, reservations, delivery, loyalty features, or location-specific services become available, displayed prices, availability, refund rules, allergy notices, and supplemental purchase terms will apply at the time of the transaction. A third-party payment provider may process payments; Youtopia should not be sent full payment-card details through posts, messages, or feedback.
Food descriptions cannot guarantee the absence of allergens or cross-contact. Confirm dietary or accessibility needs directly with the applicable Cafe location before ordering or visiting.
8. Privacy, messages, and other people’s information
Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information. Audience controls reduce who may access content but cannot guarantee that another person will not copy, capture, or reshare what they can see. Use care before posting personal information or sending sensitive material in messages.
You may use information about other members only for the purpose for which it was shared with you. You may not build profiles, contact lists, or datasets from Youtopia, use member information for unsolicited marketing, or disclose private messages or restricted content without authorization, except when reasonably necessary to report abuse or comply with law.
9. Intellectual property and rights reports
Youtopia’s software, design, name, logos, and original materials are protected by intellectual-property laws. Except for normal use of the Services, you may not copy, modify, sell, reverse engineer, or create derivative works from them unless law or a written license permits it.
If you believe content infringes your copyright, trademark, privacy, publicity, or other rights, submit a report through the contact channel with the specific content location, the right involved, your contact information, a good-faith explanation, and any statement or signature required by law. We may remove or restrict content and may terminate repeat infringers. Knowingly material misrepresentations in a copyright notice or counter-notice may create liability.
10. Reporting, moderation, and urgent removals
We may investigate reports and may remove content, limit distribution or features, preserve relevant records, restrict contact, change administrative permissions, suspend or terminate accounts, or contact authorities when reasonably necessary to enforce these Terms, protect people or the Services, or comply with law. Moderation decisions may consider context, severity, credibility, risk, and prior behavior. We do not promise to monitor every interaction, and the absence of enforcement does not waive these Terms.
A person depicted in intimate imagery shared without consent—or an authorized representative—may request removal through Youtopia’s safety reporting process. Valid requests involving covered content will be handled within the time required by applicable law, including removal of known identical copies when required. Reports should identify the content and person depicted and include the reporter’s good-faith statement and electronic signature. Do not publicly repost the material in order to report it.
Where an appeal is available, an affected member may request review. We may withhold details or an appeal when disclosure could create risk, expose private information, compromise an investigation, or be prohibited by law.
11. Third-party services and links
The Services may link to, embed, or interoperate with third-party services, app stores, maps, media, authentication providers, payment processors, or websites. Their terms and privacy practices govern their services. Youtopia does not control and is not responsible for third-party content, availability, security, products, or conduct. A link or integration does not imply endorsement.
12. Service changes, suspension, and termination
We may add, change, pause, limit, or discontinue features, or impose reasonable usage limits. We do not promise uninterrupted or error-free operation, permanent storage of every item, or that every feature will launch. Keep copies of content you need independently.
You may stop using Youtopia and request account closure through the available account process. We may restrict or end access for material or repeated violations, credible safety or legal risk, nonpayment for a paid service, or interference with the Services. Provisions that by their nature should survive—including content responsibility, licenses already exercised, disclaimers, liability limits, indemnity, dispute terms, and enforcement records—survive termination to the extent permitted by law.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." YOUTOPIA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND ACCURACY. We do not warrant that the Services will be uninterrupted, free of harmful components, or that content, members, Causes, Actions, events, Cafe plans, or third-party services will be accurate, safe, available, or produce a particular result.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YOUTOPIA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES, THESE TERMS, USER CONTENT, OR OFFLINE ACTIVITY, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID YOUTOPIA FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. These limitations do not apply where prohibited, including to liability that cannot lawfully be limited.
15. Indemnity
To the extent permitted by law, if you use the Services on behalf of an organization, administer a Cause, conduct commercial activity, or organize real-world activity, you agree to defend, indemnify, and hold harmless Youtopia and its owners, officers, employees, contractors, and agents from third-party claims, losses, liabilities, and reasonable legal costs arising from your content, activity, violation of these Terms, infringement of another person’s rights, or your organization, Cause, event, transaction, or offline conduct. This section does not require an individual consumer to indemnify Youtopia for Youtopia’s own unlawful conduct.
16. Governing law and disputes
Before filing a claim, you and Youtopia agree to make a good-faith effort to resolve it by sending a written description through the contact channel and allowing 30 days for a response, unless immediate relief is reasonably necessary. These Terms are governed by California law, without regard to conflict-of-law rules. Subject to any non-waivable right to bring a claim elsewhere, disputes will be brought in a state or federal court with jurisdiction in Los Angeles County, California, and each party consents to that court’s personal jurisdiction.
Nothing in this section prevents either party from seeking appropriate relief for misuse of intellectual property, unauthorized access, threats, harassment, or safety risks. Nothing prevents an individual from using an eligible small-claims process or making a report to a government agency.
17. Changes and general terms
We may update these Terms to reflect changes in the Services, law, or safety practices. We will post the updated date and provide additional notice when required. Continued use after updated Terms take effect constitutes acceptance where permitted by law; if you do not agree, stop using the Services and close your account.
These Terms and incorporated policies are the entire agreement concerning the Services unless supplemental terms apply. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Services. These Terms do not create third-party beneficiary rights.

Safety emergencies should be reported to local emergency services first. A report to Youtopia does not replace a report to law enforcement or another appropriate authority.
